Introduction

This Domain Registration Agreement ("Agreement") is entered into by and between Suzko ("we," "us," or "our") and you ("Registrant," "you," or "your") for the purpose of registering a domain name and managing associated services. By registering, renewing, or transferring a domain name with us, you agree to the terms and conditions of this Agreement, as well as any policies set forth by ICANN, domain registries, or applicable governing bodies.

This Agreement constitutes a legally binding contract. Please read it carefully before using our domain registration services. If you do not agree with any part of this Agreement, you may not use our services.


Acceptance of Terms

By applying to register, renew, or transfer a domain name, you acknowledge that you have read, understood, and agreed to be bound by this Agreement, as well as any policies or procedures established by ICANN or the respective registry operator for the domain name extension you are registering.


Eligibility and Representation

You represent and warrant that:

  • You have the legal authority and capacity to enter into this Agreement and fulfill your obligations hereunder.
  • The information you provide to us during the registration process is complete, accurate, and up-to-date.
  • You are not registering the domain name for any unlawful purposes or in violation of the intellectual property rights of third parties.


Domain Registration Process

1. Availability

We cannot guarantee that a domain name you wish to register is available. Domain names are registered on a first-come, first-served basis, and availability is subject to change.

2. Registration Information

As part of the registration process, you are required to provide certain information, including your full name, address, phone number, and email address. This information will be shared with the respective domain registry and made publicly available via the WHOIS directory, as required by ICANN regulations.

3. Accuracy of Information

You agree to provide and maintain accurate and up-to-date contact information for the duration of the domain registration. Failure to provide accurate information may result in the suspension or cancellation of your domain.

4. Domain Transfer

You may transfer a domain name to or from us, provided that you comply with ICANN transfer policies and the domain name is not locked or otherwise restricted.


Fees and Payment

1. Registration Fees

You agree to pay all applicable registration, renewal, and transfer fees in accordance with the fee schedule provided at the time of your domain purchase. All fees are non-refundable, except as explicitly provided in our Refund Policy.

2. Renewal

Domain names must be renewed before their expiration date to avoid loss of registration. We will attempt to notify you in advance of your domain’s expiration. However, it is your responsibility to ensure timely renewal of your domain. If the domain is not renewed, it may be deleted or auctioned.

3. Auto-Renewal

By default, domain registrations may be set to auto-renew. If you wish to disable auto-renewal, you must do so through your account settings. If auto-renewal is enabled, you authorize us to charge the applicable renewal fees to your payment method on file.


Registrant Rights and Responsibilities

1. Use of Domain

You are responsible for all content and activities associated with the use of your domain. You agree not to use your domain for any illegal activities or in violation of our Acceptable Use Policy, applicable laws, or third-party rights.

2. ICANN Policy Compliance

You agree to comply with ICANN policies, including but not limited to the Uniform Domain Name Dispute Resolution Policy (UDRP) and the WHOIS Accuracy Program. These policies may change from time to time, and it is your responsibility to remain informed of and compliant with any updates.


Privacy and WHOIS

1. WHOIS Directory

As part of the domain registration process, your contact information will be published in the publicly accessible WHOIS directory unless you opt for domain privacy protection (where available). The WHOIS directory provides transparency but may also expose your contact information to third parties.

2. Domain Privacy Protection

We offer domain privacy protection services, where available, which replaces your personal information with proxy information in the WHOIS directory. Privacy protection does not absolve you of legal responsibility for domain use.


Domain Disputes

1. Dispute Resolution Policy

You agree to submit to ICANN’s Uniform Domain Name Dispute Resolution Policy (UDRP) if a third party asserts a claim that your domain name registration violates their trademark or other intellectual property rights.

2. Suspension and Cancellation

We reserve the right to suspend or cancel your domain registration in the event of a dispute or if you are found in violation of this Agreement, applicable ICANN policies, or legal requirements.


Termination

1. Voluntary Termination

You may terminate your domain registration at any time by not renewing it or explicitly requesting the deletion of your domain. Fees are non-refundable, even if you choose to terminate your registration before the expiration date.

2. Involuntary Termination

We may terminate your domain registration if:

  • You fail to comply with any of the terms of this Agreement.
  • You fail to maintain accurate registration information.
  • You fail to pay registration or renewal fees.


Limitation of Liability

We are not liable for any indirect, incidental, or consequential damages, including but not limited to loss of revenue, profits, or data, arising from your use of our domain registration services. Our total liability for any claim related to this Agreement or our services will be limited to the amount paid for the domain registration in the preceding 12 months.


Indemnification

You agree to indemnify, defend, and hold harmless Suzko, its employees, affiliates, and agents from any and all claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of our domain registration services.
  • Your violation of this Agreement, applicable laws, or third-party rights.


Modifications

We reserve the right to modify this Agreement at any time. We will notify you of any changes through our website or by email. Your continued use of the domain registration services after changes to the Agreement are posted constitutes acceptance of the updated terms.


Governing Law and Jurisdiction

This Agreement is governed by the laws of the State of Indiana without regard to its conflict of law principles. Any disputes arising from this Agreement will be subject to the exclusive jurisdiction of the courts in the State of Indiana.


Severability

If any provision of this Agreement is determined to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement will remain in full force and effect, to the maximum extent permitted by law. The invalid, illegal, or unenforceable provision will either:

  • Be interpreted in a manner that most closely reflects the original intent of the parties while complying with applicable law, or;
  • Be replaced by a valid, enforceable provision that most accurately reflects the parties' original intentions and achieves the same economic effect.

Furthermore, the determination of invalidity or unenforceability of any provision in this Agreement shall not affect the validity or enforceability of the remaining provisions. In the event that any provision is deemed invalid, illegal, or unenforceable, the parties agree to cooperate in good faith to modify the Agreement to preserve its overall purpose and enforceability.

If the essential purpose of this Agreement is compromised as a result of the severed provision, either party may have the right to terminate the Agreement, without further liability, by providing written notice to the other party.
